These Terms of Service ("Terms") govern your use of SigilSync™'s invitation-only Bitcoin infrastructure monitoring platform and desktop companion application ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

Acceptance of Terms

By accessing, downloading, installing, or using SigilSync™ Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and SigilSync™.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" and "your" will refer to that organization.

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of our Services after such modifications constitutes your acceptance of the modified Terms.

Invitation-Only Access

SigilSync™ operates as an invitation-only platform. Access to our Services is granted solely at our discretion based on:

• Professional qualifications and Bitcoin infrastructure experience
• Technical requirements and compatibility assessment
• Security clearance and background verification
• Business needs and platform capacity considerations
• Compliance with applicable laws and regulations
• Financial stability and ability to meet service obligations
• References from existing clients or industry professionals
• Demonstration of legitimate business use cases

We reserve the right to deny, revoke, or suspend access to our Services at any time without prior notice or explanation. Invitation decisions are final and not subject to appeal.

Service Description

SigilSync™ provides the following services:

Desktop Companion Application

• Live node signal harvesting and telemetry collection
• Automated encrypted wallet archive snapshots
• Local backup creation and management
• Real-time performance monitoring and alerting
• Configuration drift detection and reporting
• Security event logging and analysis

Web Portal Analytics

• Real-time Bitcoin node performance dashboards
• Infrastructure cost forecasting and optimization
• Configuration drift detection and alerting
• Business continuity planning and reporting
• Historical data analysis and trend identification
• Custom reporting and data export capabilities
• Multi-node network visualization and management
• Predictive maintenance recommendations

Services are provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice to users.

User Responsibilities

As a user of SigilSync™ Services, you agree to:

Compliance

• Comply with all applicable laws, regulations, and industry standards
• Maintain appropriate licenses for Bitcoin node operation in your jurisdiction
• Follow all security protocols and best practices we recommend
• Report any security vulnerabilities or suspicious activities immediately
• Maintain accurate and up-to-date account information
• Respect intellectual property rights of SigilSync™ and third parties
• Use our Services only for legitimate business purposes
• Cooperate with any security investigations or audits

Account Security

• Maintain the confidentiality of your account credentials
• Use strong, unique passwords and enable multi-factor authentication
• Notify us immediately of any unauthorized access or security breaches
• Regularly update your contact information and security settings
• Monitor your account activity for suspicious behavior
• Implement appropriate network security measures
• Keep your desktop companion application updated

Prohibited Activities

You agree not to:

• Attempt to reverse engineer, decompile, or disassemble our software
• Use our Services for any illegal or unauthorized purposes
• Interfere with or disrupt the integrity or performance of our Services
• Share your account access with unauthorized third parties
• Attempt to gain unauthorized access to other users' data or accounts
• Use automated tools to access our Services without permission
• Violate any applicable export control or sanctions laws
• Engage in any activity that could damage our reputation
• Circumvent any security measures or access controls
• Use our Services to compete with or replicate our offerings

Intellectual Property

SigilSync™ and its licensors own all rights, title, and interest in and to the Services, including all intellectual property rights. This includes but is not limited to:

• Software code, algorithms, and analytical methodologies
• User interface designs, graphics, and visual elements
• Documentation, training materials, and technical specifications
• Trademarks, service marks, and brand elements
• Patents, trade secrets, and proprietary technologies
• Database structures and data compilation methods
• Machine learning models and predictive algorithms

You are granted a limited, non-exclusive, non-transferable license to use our Services solely for your authorized business purposes. This license does not grant you any ownership rights in our intellectual property and terminates upon termination of these Terms.

Data Ownership and Privacy

You retain ownership of all data you provide to or generate through our Services, including:

• Bitcoin node configuration and performance data
• Wallet archive snapshots and backup information
• Infrastructure specifications and business requirements
• Any other proprietary or confidential information
• Custom configurations and personalization settings
• Historical usage data and analytics preferences

We process your data solely to provide our Services and in accordance with our Privacy Policy. We implement military-grade encryption and zero-knowledge architecture to ensure your data remains secure and private. You grant us a limited license to use your data solely for the purpose of providing our Services.

Service Availability

While we strive to maintain 99.99% uptime, we do not guarantee uninterrupted access to our Services. Service availability may be affected by:

• Scheduled maintenance and system updates
• Emergency security patches and vulnerability fixes
• Network connectivity issues beyond our control
• Force majeure events and natural disasters
• Third-party service provider outages
• Cyber attacks or security incidents
• Hardware failures or infrastructure issues
• Regulatory compliance requirements

We will provide advance notice of scheduled maintenance whenever possible and work to minimize service disruptions. In case of unplanned outages, we will work diligently to restore service as quickly as possible.

Payment Terms

If you subscribe to paid services, the following payment terms apply:

• Fees are due in advance and are non-refundable except as required by law
• We may change our fees with 30 days' written notice
• Late payments may result in service suspension or termination
• You are responsible for all taxes related to your use of our Services
• Payment disputes must be raised within 60 days of billing
• We accept major credit cards and bank transfers
• Automatic renewal applies unless cancelled before renewal date

Limitation of Liability

To the maximum extent permitted by law, SigilSync™ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption or operational delays
• Cost of substitute services or equipment
• Loss of goodwill or reputation
• Personal injury or property damage
• Third-party claims or demands
• Regulatory fines or penalties

Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid for our Services in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless SigilSync™, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of our Services in violation of these Terms
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights
• Any data or content you provide through our Services
• Your negligent or wrongful conduct

Termination

Either party may terminate this agreement at any time with 30 days written notice. We may terminate your access immediately if you:

• Violate any provision of these Terms
• Engage in fraudulent or illegal activities
• Pose a security risk to our platform or other users
• Fail to pay applicable fees when due
• Breach any confidentiality obligations
• Use our Services in a manner that could harm our business
• Fail to maintain required licenses or certifications

Upon termination, your access to our Services will cease, and we will securely delete your data in accordance with our data retention policies and applicable law. Provisions that by their nature should survive termination will remain in effect.

Governing Law

These Terms are governed by and construed in accordance with the laws of Romania. Any disputes arising from or relating to these Terms or our Services shall be resolved through binding arbitration in Cluj-Napoca, Romania, conducted in English under the rules of the Romanian Chamber of Commerce and Industry.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision does not constitute a waiver of our right to enforce it later.
